TERMS OF ENGAGEMENT &
SERVICE AGREEMENT.

Corporate Legal Structure & Applicability
These Terms of Engagement constitute a legally binding agreement between Kalahamsa Enterprises OPC Pvt Ltd (incorporated under the Companies Act, 2013, Ministry of Corporate Affairs, Government of India, having its principal corporate office in Hyderabad, Telangana, Bharat (IN)) and any individual, entity, corporate partner, or client commissioning our professional services.
Specific service engagements are further supplemented by customized Statements of Work (SOW), Clinical Facilitation Concierge Agreements, Realty Caretaking Charters, or Multimodal Freight Contracts, each incorporating these master terms by reference.

IT & AI Engineering Terms
Software builds, AI model fine-tuning, and cloud architectures are delivered on transparent milestone sprints. Intellectual Property (IP) of bespoke code and trained weights transfers completely to the client upon full milestone settlement.
Deliverables: Source code repositories, documentation, deployment scripts.
Warranty: 90-day post-production defect remediation SLA.
Medical Tourism Concierge Charter
Kalahamsa acts as an elite healthcare facilitation, hospitality, and logistics concierge. All clinical diagnoses, medical interventions, surgeries, and prescriptions remain solely between the patient and accredited hospital partner physicians.
Concierge Role: Second opinion booking, VIP admission, visa support, 5-star stay.
Clinical Autonomy: Direct hospital billing; zero markups on surgeries.
Realty Management & Caretaking
Property management mandates confer fiduciary guardianship upon Kalahamsa for physical upkeep, tenant lifecycle, and administrative oversight. Expense ledgers are provided with original municipal receipts and digital audit trails.
Auditing: Quarterly 4K photo/video audit reports delivered online.
Approval Threshold: Capital expenditures require owner pre-approval.
Logistics & Multimodal Forwarding
Freight forwarding engagements adhere to FIATA, IATA, and Indian Customs Act guidelines under our strict 24/7 Global SLA. Cargo carriage is governed by issued Bills of Lading or Airway Bills defining carrier conditions and tariffs.
SLA Standard: 24/7 continuous shipment monitoring & clearance dispatch.
Insurance: Marine transit insurance facilitation available upon request.
Financial Transparency & Payment Framework
Zero Hidden Surcharges
All fees, port charges, agency tariffs, and statutory taxes are enumerated upfront before engagement.

Commercial projects and consulting retainers tie payments directly to verified deliverables and signoffs.
Global Currencies
Settlement supported in USD, EUR, GBP, AED, and INR via SWIFT wire transfers and certified portals.
Limitation of Liability & Force Majeure
Neither party shall be liable for failure or delay in performing obligations resulting from acts of God, extreme weather, international trade sanctions, ocean carrier schedule cancellations, labor strikes, airport closures, or pandemic travel restrictions.
In all events, the aggregate financial liability of Kalahamsa Enterprises OPC Pvt Ltd for direct proven damages arising under any engagement shall not exceed the professional service fees paid to Kalahamsa under that specific transaction or Statement of Work.
Governing Law & Exclusive Legal Jurisdiction
These Terms of Engagement and all contracts derived therefrom shall be governed by, construed, and interpreted in accordance with the laws of Bharat (Republic of India), without regard to conflicts of law principles.
Exclusive Judicial Forum:
Subject to mandatory mutual negotiation and conciliation, any legal proceeding, dispute, or claim arising out of or in connection with Kalahamsa Enterprises OPC Pvt Ltd shall be subject to the exclusive jurisdiction of the competent civil courts at Hyderabad, Telangana, Bharat (IN).
